The following was decided at the Annual General Meeting of Shareholders in Proffice AB (publ) (”Proffice”) today.

Dividend
The Annual General Meeting resolved to approve the Board of Directors’ proposal that no dividend shall be paid.

Board of Directors
At Proffice's Annual General Meeting the board members Karin Eliasson, Christer Hägglund, Christer Sandahl and Gunilla Wikman were re-elected. Christer Sandahl was re-elected as the Chairman of the Board.

Lars Murman was newly elected. Lars Murman, born 1957, has previously been with Manpower, from 1996 when his own company Teamwork was sold to Manpower. He was then President of Manpower Sweden up till 2001 and has later been with Manpower Nordic and Vice President Manpower Europe. Lars Murman holds no other directorships. Share holding in Proffice AB is 2,000,000 B shares.

Employee representatives on the Board are Sylvia Kristensen and Britt Vennerström Pedersen.

Authorization
The AGM decided on the proposal by the Board of Directors, to authorize the Board of Directors to resolve on new share issues at one or several occasions, of a total of 6,800,000 B shares, entailing a maximum increase of the company’s share capital of SEK 1,700,000.

The articles of association
The AGM further decided on the proposed amendments to the Articles of Association. The revision mainly involves aligning the Articles of Association to the new Swedish Companies Act that became effective on January 1, 2006.
