Proffice acquires HSG-Henkilöstöpalvelut Oy for a stronger and broader presence in Finland. 

The Board of directors’ of Proffice AB has made a resolution to acquire HSG-Henkilöstöpalvelut Oy, a Finnish staffing company specialised in industry and logistics. The acquisition is a step in Proffice’s ambition to participate in the consolidation of the Finnish staffing market.

HSG-Henkilöstöpalvelut Oy is estimated to have a turnover for 2005 of MEUR 7 with good profits which together with turnover is expected to increase during 2006. The purchase sum for 100% of the shares amounts to MEUR 2.5.

- As earlier stated, we have analyzed the Finnish market for a long time in order to expand our already profitable business in Finland through an acquisition, says Alf Johansson, CEO at Proffice AB. The acquisition of HSG will create a stronger market position for Proffice in Finland with a broader geographical presence and an increased customer base.

- We look very positively on HSG’s new owners, says Marko Häkkinen, CEO at HSG-Henkilöstöpalvelut Oy. The acquisition means that our present customers get a stronger partner with a Nordic focus and a broader offering of staffing services.

The purchase sum in whole will be paid by a private placement of Proffice shares to the owners of HSG-Henkilöstöpalvelut Oy. With reference to an authorization given by the annual general meeting on April 14, 2005, a total of 1,650,590 shares will be issued, which means the share capital will increase by SEK 412,647.50, a total dilution of approximately 2.4%. An additional purchase sum may be paid during the end of the first quarter of 2007, conditioned on the performance during 2006.

Through the acquisition, Proffice will become one of the largest players in Finland.
